9. I now come to the draft working agreement which he has submitted in confidential despatch of

the 9th of April. So far es technical details are

concerned I think it would be useless to attempt to

examine them. Ir. Lindsey was appointed to his post

in view of these negotiations. He has submitted his

recommendations in this draft and I cannot usefully

criticise them.

There are however one or two points raised

(1) I do not find any stipulation in Article 18

of the Loan Agreement as to management by a Board:

the actual words are "the subsequent joint working of

the two sections shall be arranged by agreement",

Still there is no doubt, I think, that management by

a Board would be the best way of arranging matters.

(2) Article 4. "No vote shall be taken unless

all the members of the Board of Control are present".

I have no doubt this is put in to prevent

the Chinese members bringing forward motions on-

important points when by some mishap the Hong Kong

representatives
